📄 General terms and conditions (GTC)
General terms and conditions of the Jolt Peptides online shop: registration, ordering and conclusion of the contract, price and payment, delivery, returns within 14 days, complaints, liability and final provisions.
⚠️ NOTICE: The online shop is intended exclusively for persons who do not act as consumers when concluding and performing the contract. In view of the above, all relations between the company and customers are considered business relations.
1. Scope of the GTC
1.1. General terms and conditions. These general terms and conditions of the company (the “GTC”) apply to all supplies of goods by the company exclusively for the purposes of scientific research and development, and to any other related contractual relationships between the company and customers (e.g. the creation of a customer account). The customer may also order and collect goods in person at the company’s registered office; the provisions of these GTC apply accordingly to this way of purchasing.
1.2. GTC and orders. These GTC form an integral part of customer orders placed in the online shop and apply in full unless the company and the customer agree otherwise in writing in an individual order. In the event of a conflict between these GTC and a separate order, the deviating terms of the order take precedence, but only to the extent of that deviation. Any general terms and conditions of the customer do not apply to the relationship between the customer and the company, even if the company performs unconditionally on the basis of an order.
1.3. Changes to the GTC. These GTC are published in the online shop, which allows the customer to archive and copy them. Changes or additions to these GTC are valid and effective only if confirmed in writing by the company; the customer and the company agree that the company may unilaterally cancel, change or supplement these GTC and notify the customer of the change, and the customer is obliged to read the amended GTC. Publication of the amended GTC in the customer account or elsewhere in the online shop together with a notice of the change (e.g. the date of update) is also considered notification. If the customer does not agree with the amended GTC, they must say so in writing (an email to info@joltpeptides.com is sufficient) no later than 5 calendar days after the change was notified. The company may then fully accept the customer’s objections and confirm the original GTC, agree special provisions with the customer, or insist on the amended GTC; in the latter case the customer may terminate the contract with immediate effect within 14 calendar days of receiving the company’s notice that it insists on the change.
1.4. No performance to third parties. The warranties and other obligations of the company under the contract arise only towards the customer and exclusively for the customer’s benefit. Except where mandatory law provides otherwise, no other person or entity is considered a third party to whom any performance, claim or right under the contract is owed, nor is any such person entitled to receive or enforce any performance, claims or rights against the company in connection with the contract.

3. Registration and customer account
3.1. Registration. A customer who wishes to buy goods through the online shop must register and create a customer account. For registration, the customer must provide all data required in the registration form, in a correct, true, current and complete form, and must inform the company of any change without delay, at the latest within 24 hours. The company reserves the right to verify the correctness, truthfulness and completeness of the information provided and to decide whether or not to create a customer account. Any breach of this obligation entitles the company to refuse, terminate or suspend the supply of goods and the customer’s access to the online shop or customer account; such refusal, termination or suspension is not a breach of the company’s obligations and the customer has no claims against the company on that basis.
3.2. Password and its protection. When registering, the customer sets a unique password giving access to the customer account. The customer may change the password in the account profile and may request a new password if forgotten. The customer is responsible for keeping the customer account confidential (in particular the security of the password) and for all activities carried out in or through the account; in the event of a breach of the account’s integrity (including loss of the password), the customer must inform the company without delay, at the latest within 24 hours. The company is not liable for any unauthorised breach of the account’s integrity caused by the loss of the password or by the customer disclosing the password and/or the account content to a third party.
3.3. Logging in to the customer account. A duly registered customer may log in to their customer account at any time. The customer must use the customer account to submit orders, to change profile data and to use other functions the account currently offers. Use of the customer account is governed by these GTC; any other use is a material breach of these GTC. Sharing or reselling access to the customer account to any third party is not permitted.
3.4. Cancellation of the customer account. The company may cancel the customer account if (a) it finds that the customer has provided incorrect, untrue or incomplete data, (b) the customer has not logged in for more than 5 years, (c) the customer requests cancellation or (d) in other cases under these GTC or mandatory law. The customer may at any time request cancellation by email to info@joltpeptides.com. If the customer has ordered goods, the company will inform them that the account will be cancelled only after the contract has been duly performed.
3.5. Consequences of cancellation. After cancellation, the company deletes all content relating to the customer and the customer account and is not obliged to back it up for future use. This does not affect the company’s right and obligation to retain selected information in accordance with mandatory law (e.g. for tax and accounting purposes).
3.6. Statements regarding the online shop and customer account. Access to the online shop and use of the customer account are provided “as available”, and the company therefore does not guarantee that they will be (a) permanently available or uninterrupted; (b) free of defects, errors, incidents, viruses or harmful components; (c) meet the requirements, expectations and specifications of third parties; (d) work with any hardware or software. Except as expressly stated in these GTC, the company gives no further warranties regarding the online shop, the customer account or other conditions and excludes any other warranties, whether express, implied or statutory, in particular regarding the right of use, non-infringement, quality, reliability or fitness for a particular purpose. Where rights or remedies are mandatory by law, they apply in accordance with that law and its procedures and limitations.
4. Order and conclusion of the contract
4.1. Offer. The company publishes in the online shop information about the goods offered, their price and the costs of sale and delivery. Publication of the offer is not a proposal by the company to conclude a contract; the information in the offer is indicative only and becomes binding only upon the company’s express confirmation of the order.
4.2. Company instructions. The company sells goods exclusively for the purposes of scientific research and development and the goods may not be used for any other purpose. The company expressly informs the customer that the chemical substances (peptides) sold through the online shop:
- 4.2.1. may not be used as a medicinal product, drug or active substance that is a starting material for the manufacture of a medicinal product for human or veterinary use, nor as a medical device, nor for any diagnostic or therapeutic purpose of any kind,
- 4.2.2. are not intended for and may not be used for human consumption, i.e. they are not foods or food supplements, and there is no reasonable expectation that these chemical substances are or could be ingested by humans, since the company informs the customer of this restriction,
- 4.2.3. are not a cosmetic product or a substance intended for the manufacture of a cosmetic product, i.e. they are not intended to come into contact with any external part of the human body (skin, hair, nails, lips and external genitalia) or with the teeth and oral cavity; they are not intended for cleaning, perfuming, changing the appearance of, protecting, maintaining or correcting the odour of these parts,
- 4.2.4. are not intended for and may not be used by athletes or any other person in sport, nor in any other way related to sporting activities under the applicable laws on sport; in particular they may not be transported, carried, stored, offered, sold, provided or handed over to an athlete or any other person in sport,
- 4.2.5. may not be used on humans or animals in any other similar way,
- 4.2.6. may in some countries fall under rules on substances with anabolic or other hormonal effects, medicines or doping substances; the customer acknowledges that unauthorised manufacture, possession, import, export, transit, offering, sale, provision or administration of such substances may be a criminal offence or administrative offence under the law of the country of delivery, and that the customer alone is responsible for compliance with the law when acquiring, possessing and using the goods,
- 4.2.7. although the positive and negative effects of the goods (chemicals sold) are described in the product information on joltpeptides.com, this in no way means that these chemical substances are intended for human consumption or for purposes other than scientific research and development; the company expressly stresses that further studies, research or analyses must be carried out on the chemical substances and that the information provided by the company serves exclusively that purpose.
4.3. Customer declaration. When submitting an order, the customer must click the button “I agree to the buyer’s declaration and will comply with it unconditionally”, thereby confirming their status as an eligible customer under these GTC, in particular that the customer:
- 4.3.1. is a natural person over 18 years of age, a self-employed natural person or a duly established and existing legal entity with the expertise and experience necessary to handle the goods, whose job or position corresponds to the purpose of scientific research and development, and declares that they will use the goods solely and exclusively for scientific research and development and will ensure that all conditions required by law for such activities are met, in particular regarding equipment and personnel;
- 4.3.2. is not a consumer and, as a natural person, acts within their business, employment or professional activity when concluding and performing the contract. If the customer as a natural person does not act within such activity and would therefore be considered a consumer, the customer must notify the company of this before submitting a binding order. The customer also confirms that the company does not in any way invite or motivate them to present themselves as a business, a professional or an employee. If the customer misleads the company about their consumer status, they acknowledge that the company will claim that the customer is not entitled to consumer status or consumer protection under mandatory law;
- 4.3.3. has been duly informed that the goods may not be used for any purpose other than scientific research and development. The customer declares that they are buying and will continue to use the goods exclusively for scientific research and development. The customer undertakes that they will not use the chemical substances (peptides) sold by the company (a) as a medicinal product, active substance or starting material for a medicinal product for human or veterinary use, nor as a medical device, nor for any diagnostic or therapeutic purpose; (b) for human consumption, i.e. as food or food supplements, and will ensure that there is no reasonable expectation that they are or could be ingested by humans; (c) as a cosmetic product or substance for the manufacture of cosmetics; (d) as an athlete, and will not transport, carry, store, offer, sell, provide or hand them over to an athlete or any other person in sport, nor use them in any other way related to sport; (e) in any other similar way on humans or animals; (f) like all information provided by the company, will use them exclusively for scientific research and development and will not distribute these chemical substances and information in any other way than with the statement that they are intended for scientific research and development;
- 4.3.4. acknowledges that certain risks are associated with the handling, use, export, import and distribution of the goods. The customer declares that they have thoroughly familiarised themselves with and are fully aware of the relevant laws of the Netherlands, the European Union and the country of destination concerning the purchase, import, export, use, handling and distribution of the goods, the health and safety risks of handling them, the rules of industrial hygiene necessary to protect employees and the obligation to warn third parties of these risks. If the goods cannot be delivered to the requested country under its laws, the customer is liable for all damage incurred by the company in connection with the delivery and return of the goods. The company is not obliged to know the laws of the country of delivery concerning the import, export, distribution and handling of the goods. A customer who wishes to conclude a contract for the supply of goods must familiarise themselves with the relevant laws of the Netherlands, the European Union and the country of delivery and with the possibility of importing the goods into that country, and must expressly inform the company of any restrictions;
- 4.3.5. has duly familiarised themselves with the criminal consequences of unauthorised handling of substances with anabolic or other hormonal effects and is aware of the elements of such offences, in particular that a person who unlawfully manufactures, imports, exports, transports, offers, sells, provides or hands over to another person a substance with anabolic or other hormonal effects (under the law of the country of delivery) for purposes other than therapeutic purposes prescribed by a doctor, or who mediates such activity, or who unlawfully possesses such substances in larger quantities, may commit a criminal offence. The customer declares that in connection with the purchase of goods from the company they will not commit this or any other criminal offence;
- 4.3.6. will test, use, import, export, distribute and place the goods on the market only in accordance with the laws of the relevant country, these GTC and experience gained in the field;
- 4.3.7. will ensure that the goods are handled only by qualified and duly trained persons involved in scientific research and development.
4.4. Company reservations. In accordance with the customer’s declarations, the company assumes that the customer is familiar with the properties, possible uses, handling and storage conditions of the goods and with the relevant laws. The company does not provide the customer with any advice, consultation or information regarding the properties, possible uses, handling conditions and related laws, except for information published on the online shop’s website. The customer buys, uses, imports, exports, distributes and carries out any further scientific research and development with the goods at their own risk. The company is not liable for any damage or harm that may arise from improper use of the goods, negligence, misuse or any other unforeseeable circumstance, regardless of whether it is claimed by the customer or a third party on the basis of contract, liability for damage or any other legal ground. The company bears no responsibility for any breach of criminal law by the customer. The customer declares that they will be liable for any damage incurred by the company or any third party as a result of handling, importing, exporting, distributing or otherwise using the goods in breach of these GTC. The company does not tolerate misuse of the goods sold. The company may refuse to sell goods to a person if it has reason to believe that the person does not meet the conditions of these GTC or that the goods will be used in breach of these GTC, the law or the purpose of sale. This reservation does not oblige the company to investigate, verify or otherwise check the circumstances in which the customer buys the goods; the company relies on the truthfulness and completeness of the customer’s declarations under this Article.
4.5. Order. A customer who wishes to buy goods offered in the online shop selects the item by clicking on it and on the “ADD TO CART” button. The customer may continue browsing and add further items in the same way. When the selection is complete and the customer wishes to place a binding order, they click the “CART” button at the top right of the online shop, where a summary of the selected goods is displayed. At this stage the customer may remove or add items or change their quantity. The customer then completes the order by logging in to the customer account and selecting the delivery and billing address, the shipping method and the payment method (bank transfer, cash on delivery with a €10 surcharge – available only for Packeta shipments – or online card payment where offered in the online shop). In this part the customer also clicks the button “I agree to the terms and conditions and will comply with them unconditionally”, confirming these GTC and the intention to be bound by them, and the button “I agree to the buyer’s declaration and will comply with it unconditionally”, confirming the truthfulness of the customer’s declarations in these GTC (marked in the order as the “BUYER’S DECLARATION”). If the customer has any questions about the content of the “BUYER’S DECLARATION”, they may contact the company at any time before submitting the binding order. The order is sent to the company when the customer clicks the “Place order” button. The customer can check and, if necessary, correct the order at any time before submitting it.
4.6. Acceptance and confirmation of the order. The company sends the customer a confirmation that the order has been created to the email address stated in the order and then checks the availability of the ordered items and its ability to deliver them properly and on time; on the basis of this check, the company either confirms the order (the “order confirmation”) or informs the customer that the goods cannot be delivered and cancels the order. The contract, and thus the specific rights and obligations of the parties in relation to the goods, is concluded only upon the company’s order confirmation.
4.7. Further communication. Where necessary, all further information about the order, in particular its verification, the invoice or other related documentation, will be sent to the customer’s email address.
4.8. Basic obligations of the customer. The customer is in particular obliged to: (a) state only true, complete and correct data in the order; (b) accept the goods properly and on time; (c) pay the agreed price by the due date, including delivery costs, unless agreed otherwise; (d) use the goods in accordance with these GTC exclusively for scientific research and development; (e) handle, import, export, distribute and otherwise use the goods only in accordance with the laws of the country of delivery, the contract and these GTC.
5. Price and payment terms
5.1. Price. All prices of goods stated in the online shop are final and VAT is added in accordance with the applicable tax rules (depending on the selected country of delivery); the price also includes packaging costs. The base currency of the online shop is the euro (EUR); prices can also be displayed and paid in CZK, HUF, RON, DKK or PLN at the fixed conversion stated in the online shop, and the amount in the currency selected in the order is binding. The company is a VAT payer.
5.2. Costs not included in the price. The price does not include delivery and payment costs; the amount of these costs (if any) is always shown to the customer when completing the order, so the customer is always informed of them before submitting the order. If the transport or payment conditions change, or if the customer, with the company’s consent, requests special transport or payment conditions, the customer bears the associated costs and risks.
5.3. Discount. Any discount on the price is possible only on the basis of a prior express written agreement of the parties.
5.4. Payment and due date. The customer must pay the price of the goods when submitting the order. The company issues and sends the customer an invoice or other tax document electronically to the email address stated in the order without undue delay after payment. In the case of an order placed in person, confirmation of payment is handed to the customer in person or sent to the email address provided. If the customer does not receive an invoice within 15 days of the expected delivery date, they must inform the company. The customer chooses the payment method in the order from the methods currently available in the online shop and follows the company’s instructions in the order or related communication. Payment costs are borne in full by the customer.
5.5. Late payment. If the customer is late in paying the agreed price or part of it, the company may require a contractual penalty of 0.05% of the outstanding amount for each day of delay. This does not affect the company’s right to full compensation for damage exceeding the contractual penalty or its right to withdraw from the contract.
5.6. Allocation of partial payments. Payments received from the customer are first set off against contractual penalties and statutory default interest and only then against the principal, regardless of any different designation by the customer. If the customer has several monetary obligations to the company, a payment is applied first to the obligation that is unsecured or least secured, otherwise to the obligation that fell due first, regardless of any different designation by the customer.
5.7. Set-off. The customer may not unilaterally set off any of its claims against the company’s claim.
5.8. No withholding of payments; suspension of deliveries. The customer may not withhold payment of the agreed price because of a complaint about goods supplied by the company or claims for damages. If the customer is late in paying any of the company’s claims, the company is not obliged to deliver further goods until all due and unpaid claims have been paid in full, even if a contract for the supply of goods has been concluded between the parties.
5.9. Delivery costs where delivery is impossible. If (a) the customer specifies a delivery address in one of the delivery countries under clause 6.7 but the goods cannot be delivered to that country under its laws, (b) delivery is impossible because customs clearance conditions are not met (including seizure of the goods by customs or other authorities) or (c) delivery is impossible for other reasons on the customer’s side (e.g. incorrect address, failure to collect the parcel within the collection period, refusal of the parcel, etc.), the customer is liable for all damage incurred by the company in connection with the delivery and return of the goods. If goods are returned for these reasons, the company refunds the price less the costs of delivery and return within 3 working days of the return by bank transfer, unless the company decides otherwise (e.g. re-sending the goods to the customer at their expense). If the returned goods are damaged or spoiled, the company is not obliged to refund the price or the costs of delivery and return.
6. Delivery of goods
6.1. Place of delivery. The place of delivery is the customer’s registered office or another delivery address stated in the order, or as separately agreed between the parties. The company determines all delivery conditions, including transport, route and the sender or carrier, unless stated otherwise in the order; the company may also deliver goods with its own staff and vehicles. If the goods are not delivered to the customer, the company fulfils its delivery obligation by allowing the customer to collect the goods at its registered office or another place designated by the company (e.g. its warehouse).
6.2. Customer’s obligations on delivery. The customer must accept the delivered goods at the place of delivery and provide the company with all cooperation it requests. On receipt, the customer must check the condition of the goods, including quantity, quality, workmanship and packaging, as later complaints will not be considered. From the moment the goods are handed over to the carrier, the carrier is responsible for any damage. The customer or a person authorised by them must therefore check on receipt whether the packaging is damaged. If it is, the customer must refuse the goods or not accept them and record the defects caused in transit with the carrier on the spot. If the customer accepts goods despite obvious damage to the packaging, the company need not accept any later complaints on that basis. The customer must confirm receipt on the delivery note or another confirmation presented by the company or carrier (e.g. a handover protocol). If collection at a place designated by the company (e.g. its warehouse) is expressly agreed and the goods are therefore not shipped, the customer must collect them without undue delay after being notified that they are available, only at that place and on the basis of a handover protocol confirmed by the customer. In that case the customer bears all costs of collection.
6.3. Delivery time. Unless otherwise agreed in writing, delivery times notified by the company (e.g. in the order confirmation) are indicative and non-binding, and the company must deliver the goods within a reasonable time, usually within 10 working days of order confirmation and payment, taking into account the nature of the goods, the place of delivery, prior deliveries from manufacturers or suppliers and other circumstances that may affect the delivery time. The delivery time starts on the day of order confirmation unless agreed otherwise. It does not run while the customer is in breach of its obligations and/or does not provide the cooperation requested by the company. The company may deliver at any time within the delivery period and the customer must accept such delivery. The company may also deliver in parts and the customer must accept partial deliveries.
6.4. Exclusion of delay. The company is not in delay with delivery if it misses the delivery time because of (a) force majeure, (b) a circumstance in which timely performance cannot reasonably be required (in particular goods being sold out, unavailable, withdrawn from sale by the manufacturer or an authority, or delays in customs or other procedures) or (c) any other circumstance arising without the company’s intentional fault. If performance becomes impossible or difficult under these circumstances, or the purpose of the contract is frustrated, the company’s obligation to perform ends without any counterclaim by the customer. In that case, however, the company must refund the price already paid for undelivered goods within a reasonable time in the same way the customer paid or in another suitable way, such as a bank transfer.
6.5. Storage of goods and other claims of the company. In the event of a delay in delivery for which the company is not responsible under clauses 6.3 and 6.4, the company may store the goods at the customer’s expense and may further deal with them at its discretion; the customer must reimburse all related fees and expenses, including storage, repacking, return transport, etc. If the goods are not collected even after a further request, the company may sell or otherwise dispose of them at the customer’s expense; this does not affect the customer’s obligation to pay the price or the company’s right to assert further claims.
6.6. Right to stop deliveries. If the company has reason to believe that the customer is unable to meet its obligations to the company, it may stop the delivery of goods.
6.7. Delivery countries and carriers. The company delivers goods only to the following countries: the Czech Republic, Slovakia, Hungary, Romania, Austria, Croatia, Denmark, France, Germany, Ireland, Italy, the Netherlands and Poland. It does not ship to other countries and may cancel an order with a delivery address outside these countries.
- Packeta (Zásilkovna) – Czech Republic, Slovakia, Hungary and Romania: delivery to a pick-up point, a Z-BOX or to the address; cash on delivery is available for these shipments.
- DPD – Austria, Croatia, Denmark, France, Germany, Ireland, Italy, the Netherlands and Poland: delivery to the address or to a DPD pick-up point.
Goods are usually dispatched within 24 hours (on working days) of order confirmation and payment, or of order confirmation for cash on delivery. Usual delivery time is 1–3 working days within the Packeta network and 2–5 working days with DPD, depending on the destination. The shipping price is shown in the order before it is submitted; Packeta shipments over €100 (3,000 CZK) ship free. For goods delivered outside the Netherlands, clause 4.3.4 on the laws of the country of delivery also applies.
7. Ownership and risk of damage
7.1. Transfer of ownership. The delivered goods remain the exclusive property of the company until all the following conditions are met: (a) full payment of the agreed price and (b) proper acceptance of the goods by the customer.
7.2. Transfer of risk. The risk of damage to and/or accidental destruction of the goods passes to the customer upon delivery, unless agreed otherwise or stated otherwise in these GTC. Delivery to the customer means not only the actual handover of the goods but also enabling the customer to dispose of the goods, handing the goods over to the first carrier or delivering them to the customer in another way. If the customer is late in accepting the goods or does not provide the cooperation necessary for the company to perform, the company may claim compensation for the resulting damage, and the risk of damage passes to the customer for the duration of that delay, even if the goods have not actually been handed over.
8. Compensation for damage
8.1. Company’s liability for damage. Since it cannot reasonably be expected that a breach of the company’s obligations could cause damage exceeding the price of the goods already paid by the customer at the time the damage occurs, the company must compensate the customer for damage caused by its culpable breach of obligations up to the amount already paid by the customer as the agreed price at the time the damage occurred.
8.2. Customer’s liability for damage. The customer is liable in full for any damage to the company’s property resulting from a breach of its obligations, even where circumstances excluding liability exist. The customer must compensate the company for the damage without delay after being requested to do so in writing.
9. Complaints about defects
9.1. Liability for defects. The company is liable for defects of the delivered goods that existed when they were handed over to the customer. It is not liable for defects that the customer knew about at the time of handover or should and could have known about in view of all circumstances. The company is also not liable for defects caused by: (a) mechanical damage to the goods, (b) use or storage contrary to the conditions of use, (c) use in conditions that do not correspond to the temperature, humidity, chemical and mechanical environmental influences appropriate to the goods, (d) improper handling or neglect of care, or excessive use, (e) natural disasters or other force majeure, (f) use for purposes other than scientific research and development, (g) breach of the customer’s contractual obligations.
9.2. Detection and notification of defects. On receiving the goods, the customer must inspect them properly and notify the company in writing of any defects found no later than 2 working days from the day on which the customer should have discovered the defect when inspecting with due care (for obvious defects and defects in quantity), and no later than 1 month from delivery (for hidden defects). If the goods were handed over on the basis of a handover protocol, defects detectable on inspection must be claimed in that protocol at the latest; later claims for such defects are excluded. If the customer does not fulfil these obligations properly and on time, delivery is considered proper and timely and all claims for defects lapse. If the customer is late in providing cooperation necessary for delivery or unjustifiably refuses to accept duly offered performance or part of it, the company may sign the delivery confirmation unilaterally, whereupon the delivery is considered accepted and the goods delivered without defects.
9.3. How to make a complaint. The customer must make a complaint in writing, either on paper or by email to info@joltpeptides.com.
9.4. Returning goods. Except for returns under clause 13.7, the customer may not send goods back to the company without the company’s express prior instruction. Returning goods could spoil or damage them given their specific nature. If the customer sends goods back without first agreeing the procedure with the company and requesting instructions, the customer is liable for any damage incurred by the company.
9.5. Remedying defects. If the goods are defective, the company will remedy the defect in a way of its choice, in particular by delivering replacement goods, delivering missing goods or granting a discount. The company must remedy the defect within a reasonable period it sets and notifies to the customer. If the company does not remedy the defect properly and on time and this is a material breach of contract, the customer may withdraw from the contract or request a discount, and must notify the company of this claim no later than 3 working days after it arises, otherwise the claim lapses. If the defect is not remedied properly and on time and this is a non-material breach, the customer may only request a discount, and must notify the company no later than 3 working days after the claim arises, otherwise it lapses.
9.6. Costs. If the customer notifies the company of a defect for which the customer believes the company is responsible and the defect is not confirmed, the customer must reimburse the company for all work performed in connection with the complaint and all related expenses and costs.
9.7. Cooperation. If the customer asserts claims for defects but does not allow the company without undue delay to inspect the claimed defect and/or examine the goods in order to establish and verify the defects, the customer’s claims for defects lapse.
10. Limitation of liability
10.1. The company is not liable for actual damage, loss of profit, injury, loss or damage, inaccuracy of any information and data, costs incurred in connection with replacement goods, or for any direct, indirect, express or implied damage or any other liability claims (including negligence or strict liability), even if the possibility of such damage was notified or foreseeable.
10.2. The limitations and exclusions of the company’s liability are independent of any agreements and apply to the full extent permitted by applicable law. Limitations and exclusions that are not in accordance with the law are deemed to provide warranties and liability to the minimum extent permitted by law. Where a right or compensation is mandatory by law, it applies in accordance with that law and its procedures and limitations.
10.3. Time limit for claims. Unless mandatory law provides a longer period, any claim of the customer against the company can only be asserted within 1 year of the day it arose, otherwise it lapses; shorter periods under these GTC and/or applicable law remain unaffected.
11. Confidentiality
11.1. Confidentiality. The customer must keep the company’s confidential information confidential and must not disclose or use it.
11.2. Disclosure. Clause 11.1 does not apply to disclosure or other use of information if (a) it is required by law, a public or judicial authority, or is necessary to perform the contract; (b) the information is provided to professional advisers only to the extent necessary and provided that they undertake to comply with this Article; (c) the company has given prior written consent. In any dispute concerning these exceptions, the burden of proof lies with the customer and the evidence must be clear and convincing.
11.3. Duration. The customer must keep confidentiality under this Article for 5 years, but where the nature of particular confidential information requires (in particular, but not limited to, trade secrets and personal data protection under the GDPR), for a longer period.
12. Personal data protection
12.1. The company confirms that it processes personal data in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council on the protection of personal data (the “GDPR”). Details are in the privacy policy (joltpeptides.com/privacy-policy).
13. Duration of the contract
13.1. Formation of the contract. The contract becomes valid and effective on the day it is concluded by the parties in accordance with Article 4.
13.2. Termination of the contract. The parties agree that the contract ends: (a) by withdrawal of either party for reasons stated in these GTC or in applicable law; (b) by agreement of the parties; (c) in any other way provided for in these GTC and/or applicable law.
13.3. Withdrawal by the company. The company may withdraw from the contract in particular: (a) if the customer does not pay the price by the due date, (b) in the event of another material breach by the customer, (c) if the customer breaches any of its obligations in a non-material way and does not remedy it within an additional period granted by the company, (d) if any declaration or information provided by the customer proves to be incorrect, untrue or incomplete.
13.4. Withdrawal by the customer. In addition to the right to return goods under clause 13.7, the customer may withdraw from the contract if the company, through its own fault, delays delivery by more than 30 calendar days; before withdrawing for this reason the customer must give the company an additional period for performance of at least 7 calendar days from the delivery of this request.
13.5. Return of goods after termination. Upon termination of the contract, if the goods have already been delivered, the customer must return them to the company no later than 14 days from termination, in the manner and to the address specified by the company. This does not apply if the company offers to collect the goods itself or through an authorised person. The company reserves the right not to accept goods sent by the customer cash on delivery. The period is met if the goods are handed over for transport on its last day at the latest. The customer is liable for any reduction in the value of the goods resulting from handling them. The company will refund the price paid, or part of it after deducting its claims under the contract, without undue delay and no later than 30 days after withdrawal and return of the goods, unless these GTC or applicable law provide otherwise. The parties may agree that instead of a refund the company exchanges the returned goods for other goods of corresponding value.
13.7. Returns within 14 days. The customer may withdraw from the contract and return unopened and unused goods in their original intact (sealed) packaging within 14 days of delivery, without giving a reason. The customer notifies the withdrawal by email to info@joltpeptides.com stating the order number; the company then sends return instructions. For hygiene and safety reasons and given the nature of research chemicals, goods whose packaging has been opened or damaged, or used goods, cannot be returned. Return costs are borne by the customer unless the return is due to the company’s error (e.g. delivery of wrong or defective goods). The company refunds the price paid in the same way the payment was made or by bank transfer within 14 days of receiving the withdrawal notice; the company may withhold the refund until it has received the goods or the customer has proved that they were sent.
13.8. Surviving provisions. All provisions whose nature allows it remain in force after termination of the contract (e.g. on confidentiality, governing law, liability for damage, etc.).
14. Common and final provisions
14.1. Assignment of claims and transfer of rights and obligations. The company may assign its claims and transfer its rights and obligations under the contract in full to a third party, in particular to entities related to the company, to which the customer expressly agrees. The customer may not assign claims or transfer rights and obligations under the contract to a third party without the company’s prior written consent.
14.2. Force majeure. The company is not liable for a breach of its obligations caused by force majeure. For the purposes of these GTC, force majeure means a circumstance that arose independently of the will of the parties and is unforeseeable, insurmountable and unavoidable, in particular flood, fire, earthquake or other natural event or disaster, emergency, riots, insurrection, strike, invasion, war, state of emergency, terrorism, epidemic/pandemic or outbreak of an infectious disease, changes in legislation, including the adoption of new legislation, or generally binding measures issued by public authorities, including quarantine measures, embargoes, export or import restrictions or other bans and orders, power outages, restriction or suspension of supplies by the company’s suppliers, etc.
14.3. Delivery of documents. Unless expressly provided otherwise by law or these GTC, the parties deliver documents in person, by email, through the customer account in the online shop, by post or in another suitable way (e.g. by courier); documents are deemed delivered when they reach the other party’s sphere of control. For the avoidance of doubt, a document reaches the other party’s sphere of control also if:
- (a) it was not received by the other party because they could not be reached at the delivery address; in that case the document is deemed delivered on the day after it was delivered to the usual place of delivery;
- (b) the document could not be delivered by post; in that case it is deemed delivered on the day it was returned to the sender as undeliverable (e.g. marked “addressee unknown”);
- (c) delivery fails due to any other obstacle not caused by the sending party; in that case it is deemed delivered on the day the sending party learned of the obstacle after attempting delivery;
- (d) the party to whom the document is delivered refuses to accept it; the consequences of delivery then occur on the day of refusal;
- (e) it is delivered electronically; in that case it is deemed delivered on the day after it was sent to the party’s email address.
If its address or any other contact details change, the party concerned must notify the other party in writing without undue delay.
14.4. Electronic signature. The parties expressly agree that all documents relating to the conclusion, amendment and termination of the contract may be made as electronic documents using an electronic signature in accordance with Regulation (EU) No 910/2014 (eIDAS). For the avoidance of doubt, any technological solution and tool enabling the creation of such an electronic signature may be used (e.g. Acrobat Sign, DocuSign, QSign, etc.).
14.5. Feedback and offers. At the company’s request the customer will provide suggestions or feedback regarding the online shop or goods, and the company may use and adapt this feedback for any purpose, including developing and improving the online shop or range of goods, without any liability, restriction or obligation to pay the customer. The company may contact customers and inform them about the online shop, goods, promotions, discounts and other products of the company, as well as any of its other activities (to which the customer agrees), and may do so in any way, including email and automated telephone calls; such communication is not considered spam, advertising or unsolicited commercial communication to the extent permitted by applicable law.
14.6. References. The customer grants the company the right to name the customer as its contracting party in advertising and marketing materials, in particular in the online shop, on other websites of the company and/or its related parties, in presentations for potential customers or partners and in other promotional materials of the company and/or its related parties.
14.7. Limitation period. Limitation periods for rights and claims are governed by the governing law under clause 14.8, unless these GTC provide otherwise.
14.8. Governing law. The relations between the parties are governed by the law of the Netherlands, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). If, notwithstanding these GTC, the customer is considered a consumer, this choice of law does not deprive them of the protection afforded by the mandatory provisions of the law of the country of their habitual residence.
14.9. Jurisdiction. All disputes between the parties will be settled by the competent courts of the Netherlands, unless mandatory law (in particular on consumer protection) provides otherwise.
14.10. Severability. If any provision of these GTC becomes invalid and/or ineffective, this does not affect the validity and/or effectiveness of the remaining provisions, unless applicable law provides otherwise. The parties agree to replace the invalid and/or ineffective provision with a new provision that most closely corresponds to the original in meaning and nature.
14.11. No waiver. If either party overlooks or forgives any breach, non-compliance, delay or non-performance of any obligation under the contract, this does not constitute a waiver of that obligation with respect to its continuing or subsequent breach, and no waiver is effective unless expressed in writing in each individual case.
14.12. Copyright in content. Information, text, video, audio, audiovisual recordings and other content relating to the online shop belong to the company or entities related to it and suppliers, who may exercise intellectual property rights or grant consent to their use. The customer may use this content only for their own non-commercial purposes. Any other use, in particular further distribution, copying, publication, provision to third parties or data analysis without the company’s consent, is prohibited.
14.13. Supervisory authorities. The supervisory authorities in the Netherlands are in particular:
- Autoriteit Consument & Markt (ACM) – commercial practices and consumer protection,
- Nederlandse Voedsel- en Warenautoriteit (NVWA) – product safety,
- Inspectie Gezondheidszorg en Jeugd (IGJ) – medicines and health products,
- Autoriteit Persoonsgegevens – personal data protection,
- Douane (customs).
For goods delivered to other delivery countries, the competent authorities of the country of delivery also exercise supervision.
